Terms of Service

These Terms of Service ("Terms") outline the terms and conditions governing the use of services provided by We Do Ads Ltd., registered at 20 Chapel Lane, Wymondham, Melton Mowbray, England, LE14 2AA. Please note that this document serves as a general outline and example of our Terms. All contracts between We Do Ads Ltd. and its clients are individually negotiated and agreed upon prior to the commencement of any services. The specific contract signed by each client takes precedence over any general Terms outlined here.

1. Services Provided

We Do Ads Ltd. offers the following services:
Ad creation and management
Campaign strategy and execution
Website design optimisation
Technical setup of tracking and attribution
Creative production of advertising assets

Services are delivered through online consultations, video meetings, email, and access to online storage folders where assets are shared. Campaign management is conducted via access to clients' advertising accounts. Some services are executed using a team of freelancers based in and outside the UK.

2. Client Responsibilities

Clients are responsible for:
Providing accurate and complete information necessary for service delivery.
Complying with project timelines and guidelines as outlined in their contract.
Ensuring that all ads, campaigns, and related content comply with applicable laws and regulations, including but not limited to data protection laws (e.g., GDPR), intellectual property laws, and advertising standards.

Client Responsibility for Legal Compliance:
We Do Ads Ltd. assumes no liability for any legal breaches resulting from the content or targeting of advertisements. Clients agree to indemnify and hold We Do Ads Ltd. harmless against any claims, damages, or legal actions resulting from non-compliance.

3. Payment Terms

All services are provided on a fixed-fee basis, with payment required in full before work begins.
For retainer-based services, payment is required in full before the work commences, with a 14-day notice period for invoice issuance.

Late Payments:
In the event of late payment, We Do Ads Ltd. reserves the right to charge interest at 1.5% per month on any outstanding balance or the highest rate allowed by law, whichever is greater. We also reserve the right to suspend or terminate services until payment is received.

4. No Guarantees on Outcomes

We Do Ads Ltd. does not guarantee any specific results or outcomes from advertising campaigns, including but not limited to return on investment (ROI), lead generation, sales, or traffic. Performance may vary due to market conditions, audience behavior, platform algorithm changes, and client input.

The client acknowledges that We Do Ads Ltd. is not liable for any perceived lack of success or non-performance of advertising campaigns.

5. Ownership of Creative Materials

We Do Ads Ltd. retains ownership of all creative assets, including but not limited to ad copy, images, videos, and any other intellectual property created during the project until full payment is made.

Rights to Use:
Clients do not have the right to use, reproduce, or distribute these assets until payment is complete. Unauthorized use of creative materials before payment constitutes an infringement of intellectual property rights, and We Do Ads Ltd. reserves the right to pursue legal remedies for such infringements.

6. Service Timelines

Service timelines and deliverables are agreed upon in each individual contract. We Do Ads Ltd. does not guarantee specific timelines unless otherwise specified in writing.

7. Contract Termination

Either party may terminate the agreement under the following conditions:
The client may terminate a retainer-based contract by providing 30 days' written notice.
We Do Ads Ltd. reserves the right to terminate the contract immediately if the client fails to make timely payments or breaches any agreed-upon terms.

In the event of termination due to non-payment or breach of contract, no refunds will be provided for services already rendered or campaigns already initiated. Any unpaid balances will remain due and payable.

8. Limitation of Liability

We Do Ads Ltd. assumes no responsibility for the performance or outcomes of advertising campaigns. The success of campaigns depends on various factors, many of which are beyond our control. The client is responsible for ensuring all ads comply with relevant laws and industry standards.

We Do Ads Ltd. shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services, including loss of business, profits, or data.

9. Force Majeure

We Do Ads Ltd. will not be liable for any failure to perform its obligations under this agreement due to circumstances beyond its control, including but not limited to natural disasters, government actions, wars, strikes, labor disputes, pandemics, cyber-attacks, platform policy changes (such as updates to Google or Facebook algorithms), or any other unforeseeable events.

10. Governing Law

These Terms and any associated contracts are governed by the laws of the United Kingdom. Any disputes arising from these Terms or the associated contracts will be subject to the jurisdiction of the courts of England.

11. Dispute Resolution

In the event of a dispute arising from this agreement, both parties agree to attempt to resolve the issue through good faith negotiations. If negotiations fail, the dispute will be referred to mediation. If mediation does not resolve the issue, the dispute will be settled by binding arbitration in accordance with UK arbitration rules, before either party resorts to court litigation.

12. Amendments to Terms

These Terms serve as a general outline for potential clients and do not apply to any specific client without further agreement. All individual contracts are tailored to the client’s specific needs, and the terms within each contract take precedence. Any amendments to the Terms of Service will be discussed and agreed upon before the signing of the contract.
